About the Role

A high-impact corporate legal operations opportunity within a structured project environment, combining transactional execution, corporate governance, equity administration, and AI-enabled process improvement.

This opportunity is ideal for experienced corporate paralegals or junior corporate attorneys with practical experience in venture financings, corporate transactions, governance, equity administration, and legal document management. Strong organizational judgment and the ability to work independently are essential.

The work involves managing corporate matters from drafting and signatures through closing and post-closing activities while developing AI-enabled workflows, self-service tools, and automation. The ability to improve accuracy, responsiveness, and scalability across recurring legal processes is critical.

What You'll Do

  • Support venture financings, secondary transactions, board approvals, stockholder approvals, and related corporate matters.
  • Draft, circulate, track, and coordinate transaction documents and approvals.
  • Drive transaction execution from signatures and checklists through closing sets and post-closing requirements.
  • Maintain centralized corporate records, data rooms, and transaction documentation.
  • Manage corporate governance and entity administration, including state filings, annual reports, minute books, organizational documents, and subsidiary records.
  • Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, cancellations, and record reconciliation.
  • Draft and manage routine corporate and legal documents while identifying matters requiring escalation.
  • Design AI-enabled legal intake, triage, and workflow processes.
  • Build templates, playbooks, self-service tools, and automations for recurring legal processes.
  • Identify repetitive legal tasks and implement systems that improve efficiency, accuracy, and scalability.

Requirements

  • Significant experience supporting venture financings, M&A, or comparable corporate transactions.
  • Strong knowledge of transaction documents, approval processes, and transaction closings.
  • Hands-on experience with corporate governance, entity management, state filings, cap tables, and equity administration.
  • Strong drafting, proofreading, project management, and written communication skills.
  • Exceptional attention to detail and ability to independently manage matters through completion.
  • Sound judgment regarding issues requiring escalation or external legal support.
  • Genuine interest in AI, legal technology, workflow design, and automation.
  • Comfort working across both legal execution and operational responsibilities.
  • Ability to work autonomously in a fast-paced, highly asynchronous environment.
  • Experience with AI tools such as ChatGPT, automation platforms, workflow systems, Slack integrations, or contract management technology is preferred.
  • JD and active U.S. bar membership with 3+ years of corporate experience, or 8+ years of corporate paralegal experience supporting venture transactions, is preferred.
  • Experience supporting venture-backed or high-growth technology organizations is preferred.
  • Experience designing or scaling technology-enabled legal processes is preferred.
