The work involves reviewing transactional agreements, annotating legal
documents, identifying contractual risks, and developing structured legal insights for AI training frameworks. Accuracy, attention to detail, and the ability to communicate sophisticated legal concepts clearly are critical to success.
What You'll Do
- Review and annotate complex transactional agreements, including MSAs, SPAs/APAs, DPAs, LPAs, side letters, and NDAs.
- Analyse investment fund, private equity, M&A, and corporate transaction documents.
- Evaluate contract language and provide structured legal feedback.
- Identify key contractual risks and recommend areas for improvement.
- Draft sample clauses and legal examples to support structured training datasets.
- Review agreements related to banking, finance, technology services, SaaS/cloud platforms, leases, employment matters, and intellectual property.
- Assess legal concepts involving data privacy, cybersecurity, and technology transactions.
- Collaborate with legal professionals to benchmark contract standards and identify industry best practices.
- Document legal reasoning and provide clear explanations of complex contractual provisions.
Requirements
- Juris Doctor (JD) degree from an accredited law school preferred; equivalent advanced legal qualifications may be considered with relevant experience.
- 8+ years of experience in private equity, investment funds, M&A, asset management, or corporate transactional law.
- Extensive experience drafting, reviewing, and negotiating complex commercial agreements.
- Strong knowledge of transactional documents including MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs.
- Expertise in contract negotiation, legal risk assessment, and transactional document analysis.
- Experience with investment funds, corporate transactions, technology agreements, or commercial contracts.
- Strong understanding of data privacy, cybersecurity, SaaS/cloud agreements, and technology transactions.
- Excellent legal writing, annotation, and analytical skills.
- Ability to synthesise complex legal concepts into clear and structured explanations.
- Strong attention to detail and ability to maintain accuracy across large document sets.
- Comfortable collaborating remotely with legal professionals and multidisciplinary teams.
- Preferred: Experience contributing to legal research, legal technology, AI evaluation, or legal data projects.
- Preferred: Familiarity with AI productivity tools, including ChatGPT or similar generative AI platforms.
